By accessing or using The Off-Market Market Place (TOMMP), you acknowledge and agree to operate in accordance with these Terms & Conditions.
These terms are designed to maintain a secure, discreet, and professional environment for all users. If you do not agree with any part of these Terms, you should refrain from using the platform.
TOMMP is a private, access-controlled platform designed to facilitate discreet introductions between buyers and sellers of high-value vehicles.
TOMMP operates solely as an intermediary and does not own, purchase, or sell vehicles unless otherwise agreed in writing.
All negotiations and final transactions are conducted directly between the buyer and seller. TOMMP does not act as a dealer, agent, or party to the sale unless explicitly stated.
Access to TOMMP is granted at the sole discretion of the platform.
Users must provide accurate and truthful information when requesting access, submitting inquiries, or listing vehicles.
TOMMP reserves the right to approve, restrict, suspend, or terminate any account or listing at any time if:
· False or misleading information is provided
· The platform is misused
· Confidentiality obligations are breached
· A listed vehicle is marketed publicly or outside agreed off-market conditions
· Any provision of these Terms & Conditions is violated
If a breach occurs, TOMMP may immediately remove the vehicle from the Vault and restrict further access to the platform.
Users agree to:
· Use the platform only for legitimate buying or selling purposes
· Maintain confidentiality of all information received through TOMMP
· Not attempt to bypass TOMMP to contact other users directly prior to authorization
· Respect the private and controlled nature of the platform
Any misuse may result in account suspension or termination.
All vehicle listings are manually reviewed and approved by TOMMP before being placed in the Vault.
By submitting a listing, the seller confirms that:
· They are the legal owner or authorized to sell the vehicle
· All information provided is accurate and truthful
· The vehicle is located in the UAE unless otherwise agreed
TOMMP reserves the right to reject, modify, or remove any listing at its discretion.
TOMMP conducts reasonable verification procedures to confirm key aspects of each listing, including:
· Vehicle ownership and seller authorization
· Vehicle authenticity and documentation
· Off-market status (not publicly advertised)
While these checks are performed, TOMMP does not conduct full mechanical inspections and does not guarantee the mechanical condition, performance, or absence of defects.
Buyers are responsible for arranging independent inspections, due diligence, and any technical or mechanical assessments prior to completing a transaction.
TOMMP operates on a discretion-first basis.
· Listings are presented with limited information to protect seller privacy
· Seller identity and full vehicle details are only shared with qualified buyers upon approval
· Users agree not to share, distribute, or publicly disclose any information obtained through the platform
Failure to maintain confidentiality may result in termination of access.
All inquiries submitted through TOMMP are reviewed and managed manually.
Contact details between buyer and seller will only be shared when:
· Both parties confirm their intention to proceed
· Basic terms are broadly aligned
· TOMMP authorizes the introduction
Submitting an inquiry does not guarantee vehicle availability or transaction approval.
If a transaction is completed between a buyer and seller introduced through TOMMP, a success fee will apply.
The success fee ranges between 0.5% and 2% of the final transaction value, depending on the vehicle, transaction size, and level of involvement.
The applicable fee and payment terms will be communicated and agreed upon prior to the introduction of both parties or progression of the transaction.
Users agree not to bypass TOMMP to avoid the success fee. Any transaction completed as a result of a TOMMP introduction will be considered subject to this fee.
Failure to disclose a completed transaction may result in account termination and further action where applicable.
To maintain the off-market integrity of the platform, vehicles listed on TOMMP must remain strictly off-market during the active listing period.
Vehicles must not be:
· Advertised on public marketplaces or websites
· Promoted on social media
· Shared for sale in WhatsApp groups, private chats, or broadcast messages
· Marketed through brokers, dealers, or third parties without prior written approval
Any breach of these Terms & Conditions will result in the immediate removal of the vehicle from the Vault.
In the event of a breach, the seller agrees to pay an administrative and breach fee of AED 1,000.
TOMMP also reserves the right to suspend or terminate the user’s access.
Approved listings are subject to a minimum active period.
By listing a vehicle, the seller agrees that:
· The vehicle will remain active for a minimum of 14 days
· The standard listing window may extend up to 45 days, depending on market conditions
If the seller requests removal within the first 14 days without a valid reason, TOMMP reserves the right to apply an early withdrawal fee of AED 1,000.
Approved listings are subject to a minimum active period.
By listing a vehicle, the seller agrees that:
· The vehicle will remain active for a minimum of 14 days
· The standard listing window During the listing period, sellers agree to:
· Provide accurate and complete information
· Cooperate with verification and documentation requests
· Respond promptly to TOMMP communications
· Notify TOMMP immediately if the vehicle is sold or withdrawn
Failure to comply may result in listing removal and account restrictions.may extend up to 45 days, depending on market conditions

TOMMP is not liable for:
· Any disputes between buyers and sellers
· Vehicle condition, performance, or undisclosed defects
· Financial losses or damages arising from any transaction
Users participate in the platform and any resulting transactions at their own discretion and risk.
All content on the platform, including logos, images, text, and design, is the property of TOMMP and may not be copied, reproduced, or used without prior written permission.
TOMMP reserves the right to modify, suspend, or discontinue any part of the platform at any time without prior notice.
These Terms & Conditions are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the jurisdiction of the UAE courts.
TOMMP reserves the right to update these Terms & Conditions at any time. Continued use of the platform constitutes acceptance of any changes.
